One executive buying is one person's decision. Three or more distinct insiders filing the same direction on the same ticker inside 30 days is a cluster, and this page lists every one in the daily snapshot, with who filed, how much, what share of the company and of their own stake it was, and how the price has moved since.

Cluster rule

A cluster is 3 or more distinct insiders filing open market trades in the same direction on one ticker inside a rolling 30 day window. Detected once a day at 02:30 UTC from SEC Form 4 filings, which are due within two business days of the trade.

Strength score

Score v2, computed per direction and comparable only within a direction. Shared terms: insiders x 3, plus log10(cluster value in thousands) x 5, plus 10 when a CEO, CFO, President or Chairman is among the filers, plus up to 10 for the share of the insiders' own stake that moved, plus up to 8 for cluster value as a share of market cap (full weight at 0.5 percent), minus 0.5 for each day since the last trade up to 30. Sell clusters subtract up to 10 for the share of value filed by ten percent owners, and 10 more when every seller with holdings data sold under a tenth of their stake. First seen clusters are labelled but carry no score weight, because the Form 4 history held here is too short to tell a first cluster from an unobserved one.

Trades counted

Open market purchases and sales only, Form 4 transaction codes P and S. Option exercises, grants, gifts and tax withholding carry no direction and are not counted. A trade needs a filed price and share count to be valued.

10b5-1 plans

Rule 10b5-1 plan trades are flagged where the filer affirmed one, which Form 4 has recorded since the April 2023 amendments. Filings without that element carry no flag rather than a negative one. Form 4 is a Section 16 disclosure under the Securities Exchange Act.

Filing lag

A Form 4 is due within two business days of the transaction, so a cluster is dated by the trades, not by the filing. Prices come from a daily close snapshot that runs about two trading days behind the snapshot (measured 2026-09-06); where it has not reached a row the page says so rather than printing a number.
