PBF's Top Holder Sold $49.5 Million in a Week, Across Three Form 4s

Between July 6 and July 10, 2026, the largest holder of PBF Energy sold 950,000 of its Class A shares into the open market and collected 49,509,752 dollars. The seller was Control Empresarial de Capitales, the investment vehicle associated with the family of Carlos Slim, which the filings flag as a holder of more than 10 percent of the company. None of that is hidden. What makes it easy to miss is that the week was not reported in one document. It was split across three separate Form 4 filings, posted on three different days, and any one of them on its own looks like a routine trim.

This is a note about what those three filings add up to once you place them side by side. It is not a forecast and it is not advice. The point is that a single week of concentrated selling by the company's biggest owner was disclosed in pieces, and the size only becomes visible once the pieces are stacked.

Three filings, five lots, one week

Control Empresarial's July selling arrived as five separate open-market lots spread across three filings. The issuer is PBF Energy Inc., SEC central index key 0001534504; the reporting owner is Control Empresarial de Capitales S.A. de C.V., central index key 0001273693. Here is the full week.

The three accessions posted to EDGAR on July 8, July 10 and July 14, in that order. Add the five lots and the total is 950,000 shares for 49,509,752 dollars, at a share-count-weighted average of about 52.12 dollars. After the last sale, Control Empresarial still reported holding 15,712,128 shares, worth about 836 million dollars at the July 10 close of 53.18 dollars, which keeps it the company's largest single holder. The week trimmed roughly 5.7 percent of the position it held going in.

Why one week reads as three modest sales

Take the filings one at a time and none of them is arresting. The July 8 filing, accession 0001140361-26-027972, shows two lots on July 6 totaling 200,000 shares, about 9.8 million dollars. The July 10 filing, accession 0001140361-26-028221, shows 380,000 shares on July 8 and 270,000 on July 9. The July 14 filing, accession 0001140361-26-028437, shows a single 100,000-share lot on July 10. Read in isolation, each is the kind of routine disposition a large holder files without comment.

The number that matters is the sum, and the sum is only visible once the third filing posts and you line all three up against the same owner. That is a fact about how Form 4 disclosure works rather than a claim about intent. A reporting owner files within two business days of each transaction, so a week of selling routinely fragments into several documents, and a reader watching one filing at a time sees a sequence of small trims rather than a single 49.5 million dollar week. Kresmion groups the filings by reporting owner precisely so the aggregate does not slip between the documents.

Selling into a rising tape

The other feature of the week is the price the shares changed hands at. PBF closed at 47.81 dollars on July 2. By the July 10 close it was at 53.18 dollars, an advance of about 11 percent over five sessions, and Control Empresarial's five lots were struck at successively higher prices each day, from 48.00 dollars on July 6 to 54.52 dollars on July 10. The seller was not stepping in front of a falling stock. Each lot priced above the one before it, from 48.00 dollars to 54.52 dollars, in a tape that was firm all week.

The refining group was firm over the same window, which is the backdrop the sales were struck against. Marathon Petroleum rose from 266.35 to 283.74 dollars between July 2 and July 10, about 6.5 percent, and Valero rose from 267.76 to 280.69 dollars, about 4.8 percent, both per Kresmion price snapshots. PBF's roughly 11 percent move over the same five sessions outpaced both. A holder reducing a position into sector strength is a different picture from one selling into weakness, and the tape says this was the former.

The strongest evidence against this read

The cleanest objection is that a 10 percent owner selling is one of the least informative signals on the tape. Control Empresarial holds a stake far too large to be read as a bet on the next quarter, and holders of that size sell for reasons that have nothing to do with the business: liquidity, estate and tax planning, portfolio rebalancing, or the terms of how the position was financed. None of the three filings carries a Rule 10b5-1 plan indicator, which means the sales are not flagged as pre-scheduled, but the absence of a plan cuts both ways and is not evidence of a view.

The size of the trim argues the same way. Selling 950,000 shares out of more than 16.6 million is about 5.7 percent of the position, and the holder remains the company's largest by a wide margin. This was not an exit. It was a partial reduction that left the great majority of the stake in place.

And the price direction complicates any tidy story. The stock stayed strong while Control Empresarial sold, closing higher on July 8 and 9 and holding near those highs on July 10, which is not how a stock behaves when its biggest owner is racing to get out ahead of trouble. The selling also did not begin on July 6: a fourth Form 4, accession 0001140361-26-027620, filed on July 6, shows a 200,000-share sale on July 1 at 46.9433 dollars, about 9.4 million dollars. That makes this a steady, staggered reduction across two weeks rather than a sudden July event. Steady and staggered is the profile of a seller working out of size in an orderly way, which fits a liquidity or planning motive at least as well as any read about the company itself.

What would change the read

The test is what the next filings show. More Form 4s from Control Empresarial at a similar or faster pace would turn a partial trim into a sustained reduction, and a filing that took the stake below the 10 percent threshold would be the clearest marker of that. A Schedule 13D amendment stating a changed purpose would say more than any single Form 4, because it speaks to intent rather than to one week's transactions. And the simplest tell is the tape of filings itself: if the selling stops here, the July week reads as routine portfolio management; if it keeps up, the aggregate that took three filings to see becomes the opening of a larger move out of the position.

The contract on the next Chancellor of the Exchequer moved Shabana Mahmood from about 30 percent early on July 15 to about 88 percent by the middle of that afternoon, and it was still quoted near 88 percent on the morning of July 16, per Kresmion's Polymarket monitor (market 2632929). The contract on Yvette Cooper fell about 41 points over the same 24 hours to about 6 percent (market 2632930).
  • Bitcoin ETF flows whipsawed. US spot bitcoin funds saw a net outflow of 478.1 million dollars on July 13, with Fidelity's FBTC alone accounting for 245.6 million dollars of it, then took in 167.1 million and 97.7 million dollars over the next two sessions, per Kresmion ETF flow data. Ether funds moved far less, a 15.4 million dollar outflow on July 13 followed by 58.3 million and 45.3 million dollars of inflows.
  • Dealer gamma split after the June inflation print. SPY closed July 15 with modeled net gamma back positive at about 4.06 billion dollars and spot at 754.81 dollars, above its 752.32 dollar zero-gamma level, while QQQ stayed negative at about minus 2.42 billion dollars with spot at 717.74 dollars, below its 723.24 dollar flip level, per Kresmion options positioning estimates.
